Services Provided – Mira Home, LLC. and its affiliated entities (collectively, “Mira Home”) will deliver pest control services (the “Services”) to you (“you” or the “Customer”), at the service address specified above (the “Premises”) in accordance with the terms and condition of this agreement (“Agreement”). This Agreement is subject to, and incorporates by reference, the Terms of Service (‘Website TOS’) available at mirapest.com/terms-service, as may be amended, updated, or modified from time to time at the sole discretion of Mira Home. Any updates to the Website TOS shall be effective immediately upon posting to the website and written notice to Customer (email being sufficient). Customer’s continued use of the Services following such updates and notice constitutes acceptance of the Website TOS.
Covered Pests – Mira Home guarantees coverage of only the “Included Pests” set forth on Page 1 of this Agreement; provided, however, that no guarantee or re-services are provided under this Agreement if Customer fails to correct conditions conducive to pest infestations identified by Mira Homes and presented to Customer.
Re-Services – Re-services are targeted treatments at specific locations for persistent Included Pests, but are not available if requested when Customer’s regular service is overdue for performance or Customer is delinquent on any payments due under this Agreement.
Postponements – Customer acknowledges that timely service delivery at the intervals specified in this Agreement is essential to maintain the effectiveness of Mira Home’s pest control strategy and prevent re-infestation. Accordingly, Customer may not postpone scheduled services for more than thirty (30) days beyond the agreed-upon service interval without written consent from Mira Home. Any Postponements shall extend the Initial Period of this Agreement until the agreed-upon number of services or subscription payments, as applicable, has been fulfilled. If Customer repeatedly postpones or prevents services, Mira Home reserves the right to suspend services or terminate this Agreement in accordance with its terms. For purposes of this Agreement, “Postponements” means Customer-initiated delays in the performance of scheduled pest control services.
WARNING – AS A PRECAUTIONARY MEASURE, CUSTOMER AGREES THAT ALL PETS AND PROPERTY GUESTS/RESIDENTS WILL MAINTAIN A SAFE DISTANCE FROM, AND AVOID CONTACT WITH, THE TREATED AREAS IN COMPLIANCE WITH THE MANUFACTURING LABELS AND SAFETY DATA SHEETS FOR ALL PESTICIDE PRODUCTS USED TO PROVIDE SERVICE UNDER THIS AGREEMENT. CUSTOMER WILL RECEIVE IDENTIFICATION OF PESTICIDE PRODUCTS USED IN CONNECTION WITH THIS AGREEMENT AND ACKNOWLEDGES THAT LABELS AND SAFETY DATA SHEETS FOR THESE PRODUCTS ARE AVAILABLE UPON REQUEST BY EMAILING SUPPORT@MIRAPEST.COM. (mailto:SUPPORT@MIRAPEST.COM) CUSTOMER SHOULD CONTACT POISON CONTROL IMMEDIATELY IF CUSTOMER IS CONCERNED THAT CUSTOMER OR ANY OTHER PERSON OR PET MAY HAVE INGESTED PESTICIDES OR ANY OTHER MIRA HOME PRODUCT.
Term – This Agreement shall commence on the date of execution and continue for the Initial Period specified above Customer’s signature, as extended by any Postponements, until Customer has fulfilled the agreed-upon number of Services or subscription payments, as applicable (the “Initial Period”). Following the Initial Period, this Agreement shall renew automatically month-to-month until terminated by Customer at least thirty (30) days prior to the next scheduled service.
Cancellation – A) By Customer: Customer may cancel this Agreement within three (3) business days of the execution date by providing written notice to Mira Home, as detailed in the “BUYER’S RIGHT TO CANCEL” statement and the attached “Notice of Cancellation” form, in accordance with applicable law. B) Mira Home may terminate this Agreement upon written notice to Customer for any of the following reasons: (i) Customer’s material breach or default of any term or condition of this Agreement, including but not limited to non-payment of any fees due under this Agreement, failure to provide reasonable access to the Premises for scheduled services, or failure to comply with Mira Home’s recommended treatment plan (e.g., maintaining sanitation or clearing areas as instructed); (ii) hazardous conditions at the Premises that endanger Mira Home’s personnel or equipment; or (iii) changes in applicable laws that materially affect Mira Home’s ability to perform its obligations.
Early Termination – Except as otherwise provided herein, if Customer cancels this Agreement before the expiration of the Initial Period, Customer shall incur an early termination fee of $369, plus any outstanding balances for services rendered or subscription payments due. Customer must provide written notice of early termination to Mira Home at the email or mailing address provided in this Agreement.
Payment – Payment for the initial treatment is due immediately upon completion, and subsequent payments are due either monthly as per the agreed-upon subscription fee or upon completion of each regular service, as specified in this Agreement, and will be charged to Customer’s selected Payment Method. For purposes of this Agreement, “Payment Method” refers to any form of payment accepted by Mira Home, including but not limited to credit cards, debit cards, or personal/business checks. The Customer authorizes Mira Home to charge the selected Payment Method for all amounts due under this Agreement, including initial and recurring payments. A handling fee of $25.00 plus any charges assessed by the holder’s financial institution will be charged for any Customer checks returned from the bank.
Electronic Consent – Customer hereby authorizes Mira Home (i) to contact Customer by email, text, or phone (including an automatic dialing system or artificial/prerecorded voice) at the email address and phone number(s) above and (ii) to send Customer this Agreement, additional disclosure, product usage notifications and label information before and after service, information on additional services, and account-related notifications electronically.
Price Increase – Mira Home may, in its sole discretion, increase the price of services under this Agreement after the Initial Period, provided that such increase shall not exceed five percent (5%) plus any positive percentage increase in the Consumer Price Index (CPI) for the preceding twelve (12) months, and shall not occur more than once in any twelve (12)-month period. Mira Home shall provide Customer with at least thirty (30) days’ prior written notice of any price increase, sent to the email address or mailing address provided by Customer in this Agreement. Customer may cancel this Agreement without incurring the early termination fee by sending written notice of cancellation to Mira Home at the email or mailing address provided in this Agreement, provided such notice is received within twenty (20) days of Mira Home’s price increase notice. Continued receipt of Services after the effective date of the price increase constitutes acceptance of the new pricing.
DELINQUENCY FEES – IF PAYMENT IS NOT RECEIVED WITHIN THIRTY (30) DAYS OF THE DUE DATE, A LATE FEE OF 5% WILL BE CHARGED TO CUSTOMER’S UNPAID BALANCE AND INTEREST AT 1.5% PER MONTH THEREAFTER, AS ALLOWED BY APPLICABLE LAW.
Cooperation – Customer shall cooperate with Mira Home by maintaining proper sanitation, preparing the Premises for the Services (e.g., clearing access areas), and following all safety instructions, pesticide labels, and Safety Data Sheets provided by Mira Home. For recurring services, Customer shall ensure access to the Premises, including unlocking gates, providing gate codes, or securing pets, whether or not Customer is present. Customer shall provide Mira Home with reasonable access to all areas of the Premises for inspection, treatment, or monitoring. If Customer fails to comply with these obligations, including failure to provide access (e.g., locked gates, inaccessible areas), Mira Home may suspend services until compliance is achieved or charge reasonable additional fees, including a travel fee of $50 for each return visit required to complete a scheduled service. Non-compliance may limit the effectiveness of services and void any coverage guarantees under this Agreement, without liability to Mira Home for service delays or reduced efficacy.
Customer Acknowledgement – If bait stations or other equipment, including, but not limited to, rodent bait (collectively, “Equipment”) are installed as part of the service plan, Customer acknowledges that the Equipment utilizes a poison used for killing rodents and other ground pests that may be on the Premises. Customer understands that the Equipment can be dangerous to humans and pets absent adherence to warnings provided by the product manufacturers, more information is available upon request by emailing support@mirapest.com. Customer acknowledges that Mira Home has advised Customer/all residents to keep themselves and pets away from any treated areas and Equipment in congruence with the labels and Safety Data Sheets available upon request. Customer agrees to immediately notify Mira Home if, during the term of this Agreement, any Equipment is damaged, unlocked or modified from its condition at installation by actors or events independent of Mira Home. Mira Home can be contacted by phone at (833) 777-6472. Customer agrees that any Equipment retained beyond the term of this Agreement shall be the property and sole responsibility of Customer and Mira Home shall have no further responsibility related to such Equipment.
Exclusions from Liability – To the fullest extent permitted by law, Mira Home shall not be liable for:
· Personal injuries or damages from bites or stings by pests.
· Damage to trees, shrubs, flowers, sprinkler systems, or structures caused by necessary pest control activities, provided Customer was instructed to clear such areas.
· Injury or death to animals or pets resulting from contact with pesticides or devices, where Customer failed to follow Mira Home’s safety instructions, pesticide labels, or Safety Data Sheets.
· Damages due to Customer’s chemical sensitivities to pesticides, unless such sensitivities were provided to Mira Home in writing prior the Services being performed.
· Pre-existing damages to the Premises present before the commencement of services under this Agreement.
These exclusions shall not apply to losses caused by Mira Home’s gross negligence or willful misconduct.
LIMITATION OF LIABILITY – IN NO EVENT SHALL MIRA HOME OR ANY OF ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, OR FOR ANY PUNITIVE OR EXEMPLARY DAMAGES, INCURRED BY CUSTOMER OR ANY OTHER PERSON. THE LIABILITY OF MIRA HOME WITH RESPECT TO ANY CLAIM SHALL BE LIMITED TO AND IN NO EVENT EXCEED THE TOTAL SERVICE FEES PAID UNDER THIS AGREEMENT IN THE 12 MONTHS IMMEDIATELY PRIOR TO ALLEGED INJURY.
Release and Indemnification – To the fullest extent permitted by law, Customer releases Mira Home, its affiliates, employees, technicians, managers, directors, executives and agents from liability for personal injury, property damage, or other losses, and agrees to indemnify, defend, and hold them harmless from any claims, damages, or liabilities, including reasonable attorneys’ fees, arising from Customer’s breach of this Agreement and Customer’s failure to comply with Mira Home’s safety instructions, pesticide labels, Safety Data Sheets, or other obligations under this Agreement, except to the extent caused by Mira Home’s gross negligence or willful misconduct.
Disclaimer of Warranties – Mira Home provides services with reasonable care but does not guarantee complete pest elimination. Except as expressly stated, all warranties, express or implied, including, but not limited to, merchantability or fitness for a particular purpose, are disclaimed.
Customer Representations – Customer represents and warrants that: (i) the Premises are free of known hazardous conditions (e.g., structural damage, chemical contamination) that could affect the Services; (ii) neither Customer nor, to Customer’s knowledge, any occupant of or visitor to the Premises has allergies or sensitivities to pesticides used by Mira Home; (iii) there are no undisclosed pest infestations or conditions that could impact the Service’s effectiveness; and (iv) the Premises are not subject to legal restrictions (e.g., environmental regulations, lease prohibitions) that would prevent Mira Home from performing the Services. Customer shall notify Mira Home in writing of any such conditions, allergies, infestations, or restrictions before services begin.
Arbitration – READ THIS ARBITRATION PROVISION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS
IF THERE IS A DISPUTE – BY SIGNING BELOW, CUSTOMER ACKNOWLEDGES THAT CUSTOMER IS WAIVING THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. Customer and Mira Home agree to resolve any dispute, claim, or controversy arising out of or relating to this Agreement, its breach, or the relationship between Customer and Mira Home, whether based in contract, tort, or statute, through binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, or in small claims court. All disputes shall be brought solely in Customer’s individual capacity, and not as a plaintiff or class member in any class, representative, mass, or consolidated action. Fees and costs shall follow JAMS rules and applicable law. The arbitrator may not award punitive or consequential damages. Customer may opt out of this provision by mailing a signed notice to Mira Home, 6090 Dawson Blvd Suite L., Norcross, GA 30093, within 30 days of signing this Agreement.
Force Majeure – Mira Home shall not be liable or in default of this Agreement on account of any failure to perform its obligations or the Services due to events beyond its reasonable control, including but not limited to natural disasters, government restrictions, or supply shortages. Affected services shall be rescheduled as soon as practicable.
No Waiver – No failure or delay on the part of Mira Home in exercising any right, power or remedy under this Agreement, nor any partial or delayed exercise of any such right, power or remedy, shall operate as a waiver of Mira Home’s right to further exercise said right, power or remedy. Nor shall any additional gratuitous offer or provision of gratuitous products or services by Mira Home, other than those set out in this Agreement, obligate Mira Home to further gratuitously offer or provide such products or services in future. Subject to these provisions, no waiver of any right, power or remedy by Mira Home shall be effective unless in writing.
Assignment – Mira Home may assign its rights and obligations under this Agreement, in whole or in part, to any third party without Customer’s consent. Customer may not assign its rights or obligations under this Agreement, in whole or in part, without the prior written consent of Mira Home. Any attempted assignment by Customer without Mira Home’s consent shall be null and void.
Entire Agreement, Electronic Signature – This Agreement constitutes the entire understanding between Mira Home and Customer and supersedes all previous communications, understandings or agreements between the Parties relating to the subject matter of the Agreement and may only be modified by written instrument signed by the Parties. Customer agrees to inform Mira Home in writing at the email address support@mirapest.com within 7 days if Customer’s current email address or phone number changes. The Parties agree that this Agreement may be signed with an electronic signature and that an electronic signature shall be valid for all purposes, and the Parties waive any objection to use of an electronic version of this Agreement as substitute for the original for any legal purposes.
Insurance Coverage – The Georgia Structural Pest Control Act requires all pest control companies to maintain general liability insurance and property damage insurance. Information about this coverage is available from this pest control company.
Severability – Should an arbitrator or court of competent jurisdiction find all or any part of any provision or condition of this Agreement to be illegal or not enforceable, said provision or condition shall be considered severable, and this Agreement and its conditions shall remain in force and be binding upon the Parties as though the severed language had never been included.
Electronic Communication Acknowledgement Statement – In accordance with state regulations, pest control companies have a responsibility to provide you with a record every time a pesticide product and/or pest system is applied. This record is required to be provided to the property owner, resident or custodian of the property. This record may include post-application precautionary information. I understand and request that my pesticide use records be provided or made available to me electronically.
